Effective Date: July 8th, 2025
1. Introduction: These Terms and Conditions ("Agreement") are entered into by and between Studio Premium, a sole proprietorship operated by Rui Patrick Fang, and you for the purpose of providing website design and related services. By engaging our services, accessing our materials, or otherwise interacting with Studio Premium, you agree to these terms.
2. Services: We provide website design, development, branding, and related digital services. The scope of work will be outlined in a written proposal or agreement prior to project start.
3. Payment: Payment terms will be clearly outlined before the project begins. Late payments may incur a fee of 10% per week overdue. We reserve the right to pause or terminate the project for non-payment.
4. Intellectual Property: Final deliverables become the Client’s property upon full payment. Studio Persona retains the right to showcase the work in portfolios, case studies, or marketing materials unless otherwise agreed.
5. Revisions: Projects typically include 2 rounds of revisions. Additional revisions may be billed separately.
6. Cancellation & Refunds: A deposit may be required to start work. If either party cancels before completion, any work completed to date will be billed accordingly. Deposits are typically non-refundable due to time and resource allocation.
7. Limitation of Liability: Studio Persona is not liable for any indirect, incidental, or consequential damages arising from the use of our services. We are not responsible for issues caused by third-party services or platforms.
8. Independent Contractor: Studio Persona is an independent contractor. This agreement does not create a partnership, joint venture, or employment relationship.
9. Client Responsibilities: The Client agrees to provide all content, access, and assets in a timely manner. Delays in response may impact project timelines.
10. Legal & Jurisdiction: These terms shall be governed by the laws of the State of California. Any disputes will be resolved in the courts of Belmont California.
11. Business Status: Studio Premium is not yet a registered legal entity. All services are provided under the trade name “Studio Premium” by Rui Patrick Fang as a sole proprietor.
